    Terms of Service

    1. Acceptance of These Terms

    These Terms of Service ("Terms") govern access to and use of the PraixAgent platform (the "Service"), operated by PRAIX S.à r.l. (RCS Luxembourg B311282), hereinafter "PraixAgent" or "the Provider." By creating an account or using the Service, the customer ("Client," "you") agrees to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. We may update these Terms from time to time. If we make material changes, we will notify active customers at least 15 days before the changes take effect. Continued use of the Service after that date constitutes acceptance.

    2. The Service

    PraixAgent is a software platform that lets businesses build and deploy AI-powered voice agents to handle phone calls — answering, assisting, booking, and transferring calls to a human when needed. The Service includes: • Tools to configure, train, and manage AI voice agents. • Telephony features, including phone number provisioning and inbound/outbound calling. • A dashboard for analytics, call history, and account management. • Integrations with third-party business tools the Client chooses to connect.     3. Eligibility — Business Customers Only

    The Service is provided exclusively to businesses, professionals, and organizations acting for purposes related to their trade, business, or profession. It is not offered to consumers. By registering, the Client confirms it is acting in such a professional capacity. PraixAgent may suspend any account it reasonably believes was opened by a private individual acting outside a business context.

    4. Your Account

    You're responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us immediately at legal@praixagent.com if you suspect unauthorized access.

    5. Subscriptions, Credits & Payment

    Access to the Service requires an active subscription plan and, where applicable, purchased usage credits. • Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Credits are billed at the time of purchase. • Payments are processed by a PCI-DSS-compliant third-party payment processor. PraixAgent does not store full payment card numbers. • Consumed usage credits (e.g., call minutes) are non-refundable once used. Unused credits remain available while the account is active, subject to the terms of the applicable plan. • We may change our prices. Existing customers will be notified at least 30 days before a price change takes effect on their account. • Failure to pay amounts due may result in suspension or termination of the Service. • Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time, in one click, from your account dashboard (see section 13).

    6. Acceptable Use

    You agree to use the Service in compliance with applicable law and not to: • Use the Service to make unlawful, fraudulent, harassing, or deceptive calls, or for any activity that violates telecommunications, consumer protection, or data protection law. • Attempt to circumvent, disable, or reverse-engineer any part of the Service. • Resell or provide the Service to third parties without our prior written consent, except as expressly permitted under a white-label or partner agreement. • Use the Service in a manner that infringes the rights of any third party. We may suspend or terminate access immediately, without refund, in case of a serious or repeated violation of this section.

    7. AI System Transparency & Client Compliance Obligations

    PraixAgent's voice agents are AI systems that interact directly with people. Under Article 50(1) of Regulation (EU) 2024/1689 (the "AI Act"), a person interacting with an AI system must be informed of this, unless it is already obvious from the circumstances. Similarly, under Articles 13–14 of the GDPR, the party operating a voice agent that records or processes calls must give callers appropriate notice. As the deployer of the AI system in your own business (PraixAgent being the provider of the underlying platform), you are solely responsible for: • Configuring your agent so that callers are informed they are speaking with an AI system where required by law; • Providing any required notice regarding call recording and voice data processing; • Ensuring your use of the Service, including the content and conduct of your agents' calls, complies with the AI Act, GDPR, telecommunications law, and any other law applicable to you or your callers. PraixAgent provides the configuration tools (including a customizable opening message and call-recording settings) needed to support this, but does not review, verify, or guarantee any individual Client's compliance. You are solely liable for the content and conduct of calls made by your agents.

    8. Data Protection

    Our collection and use of personal data, including how we handle voice and call data, is described in our Privacy Policy. By using the Service, you acknowledge that Policy. Where the Client processes personal data of its own callers or customers through the Service, the Client acts as data controller and PraixAgent acts as data processor. That processing is governed by our Data Processing Agreement (DPA), which is incorporated into and forms an integral part of these Terms, and is accepted together with them.     9. Intellectual Property

    PraixAgent and its licensors retain all rights, title, and interest in the platform, including its software, design, and underlying technology. Nothing in these Terms transfers any such rights to the Client. The Client retains all rights to its own content, prompts, configurations, and data uploaded to the Service, and grants PraixAgent a limited license to process that content solely to provide the Service. PraixAgent may use anonymized, aggregated statistics about how the platform is used (such as call volumes and performance metrics) to operate and improve it; this never includes the content of calls or personal data.

    10. Service Availability

    We aim to provide a reliable, highly available service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available." We may perform scheduled maintenance and will use reasonable efforts to minimize disruption.

    11. Limitation of Liability

    To the maximum extent permitted by law: • PraixAgent is not liable for the content of calls made by the Client's voice agents, for the Client's non-compliant use of the Service, or for indirect, incidental, or consequential damages (including lost profits or lost data) arising from use of, or inability to use, the Service. • PraixAgent is not liable for interruptions caused by partners or infrastructure outside our reasonable control. • Our total liability arising out of or relating to these Terms is limited to the amounts paid by the Client in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

    12. Indemnification

    The Client agrees to indemnify and hold PraixAgent harmless from any claims, damages, or expenses (including reasonable legal fees) arising from the Client's breach of these Terms, misuse of the Service, or violation of applicable law in connection with its use of the Service.

    13. Term & Termination

    You may cancel your subscription at any time from your account dashboard; cancellation takes effect at the end of the then-current billing period. We may suspend or terminate your account for breach of these Terms, fraudulent or abusive use, or non-payment. No refund is due where termination results from your breach. After termination, your data is handled as described in the Data Processing Agreement and the Privacy Policy.

    14. Governing Law & Disputes

    These Terms are governed by the laws of the Grand Duchy of Luxembourg, without regard to conflict-of-law principles. The parties will attempt to resolve any dispute amicably before initiating legal proceedings. Failing an amicable resolution, disputes shall be submitted to the exclusive jurisdiction of the courts of Luxembourg.

    15. General & Contact

    If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy and any order form or Data Processing Agreement, constitute the entire agreement between the parties. PraixAgent may update or assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to the Client.
